1. Acceptance of Terms

By accessing and using CitoHR ("the Service"), operated by Citosoft Ltd ("we", "us", "our"), you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing the Service.

2. Use License

Permission is granted to access and use CitoHR ("the Service") as a web-based software-as-a-service platform. This is the grant of a license, not a transfer of title, and under this license you may not:

  • Modify, copy, or reverse engineer the Service
  • Use the Service for any unauthorized commercial purpose
  • Attempt to gain unauthorized access to the Service or its systems
  • Remove any copyright or other proprietary notations from the Service
  • Share your account credentials or allow unauthorized access to the Service
  • Use the Service in violation of any applicable laws or regulations

3. User Accounts

When you create an account with us, you must provide accurate and complete information. You are responsible for maintaining the security of your account and password. We cannot and will not be liable for any loss or damage from your failure to comply with this security obligation.

4. Subscription and Payment

CitoHR is provided as a subscription-based service. By subscribing to our service, you agree to:

  • Pay all applicable subscription fees in advance
  • Maintain valid payment information on your account
  • Understand that subscription fees are non-refundable except as required by law
  • Accept that we may change subscription pricing with 30 days notice
  • Recognize that access to the Service will be suspended if payment is not received

You may cancel your subscription at any time through your account settings. Upon cancellation, you will continue to have access to the Service until the end of your current billing period.

Service Availability and Downtime:

While we strive to maintain high availability of the Service, you acknowledge and agree that the Service may experience downtime, interruptions, or unavailability from time to time due to maintenance, technical issues, or circumstances beyond our control. In the event of any downtime or service interruption during a paid subscription period, you agree that:

  • No refunds, credits, or pro-rata adjustments will be provided for any subscription fees paid
  • No claims for losses, damages, or compensation of any kind (including but not limited to lost profits, lost data, business interruption, or indirect damages) may be made against Citosoft Ltd or its suppliers
  • We are not liable for any consequences arising from service unavailability or downtime

5. Data Ownership and Portability

You retain all ownership rights to your data that you upload, store, or process through the Service. However, you grant us a limited license to use, store, and process your data solely for the purpose of providing and improving the Service. You are responsible for ensuring you have the right to upload and process any data you provide to the Service.

You may export your data at any time through the Service's export functionality. Upon termination of your account, you will have a reasonable period (typically 30 days) to export your data before it is permanently deleted.

We are not responsible for any loss of data that occurs due to your failure to export your data before account termination or deletion.

6. Data and Privacy

Your use of CitoHR is also governed by our Privacy Policy. Please review our Privacy Policy, which also governs the Service and informs users of our data collection practices.

7. Intellectual Property Rights

The Service, including its original content, features, functionality, design, logos, trademarks, and all intellectual property rights therein, are and will remain the exclusive property of Citosoft Ltd and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

You acknowledge that you do not acquire any ownership rights by using the Service. Any feedback, comments, or suggestions you provide regarding the Service may be used by us without any obligation to compensate you.

8. Termination and Account Deletion

We reserve the right to suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms of Service
  • Non-payment of subscription fees
  • Fraudulent, abusive, or illegal activity
  • Violation of applicable laws or regulations
  • Extended periods of account inactivity

Upon termination, your right to use the Service will immediately cease. We may delete your account and all associated data after a reasonable retention period (typically 30 days from termination), during which you may export your data. We are not obligated to retain your data after this period.

All provisions of these Terms which by their nature should survive termination shall survive termination, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

9. Service Modifications and Discontinuation

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We may also impose limits on certain features or restrict your access to parts or all of the Service without notice or liability. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

10. Prohibited Uses

You agree not to use the Service:

  • In any way that violates any applicable national or international law or regulation
  • To transmit, or procure the sending of, any advertising or promotional material without our prior written consent
  • To impersonate or attempt to impersonate the company, a company employee, another user, or any other person or entity
  • In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful
  • To engage in any other conduct that restricts or inhibits anyone's use or enjoyment of the Service
  • To introduce viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful
  • To attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of the Service, the server on which the Service is stored, or any server, computer, or database connected to the Service
  • To attack the Service via a denial-of-service attack or a distributed denial-of-service attack

Violation of these prohibited uses may result in immediate termination of your account and may expose you to civil and/or criminal liability.

11. Age Restrictions and Compliance

The Service is intended for users who are at least 18 years of age or the age of majority in their jurisdiction, whichever is greater. By using the Service, you represent and warrant that you meet this age requirement.

You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Service, including but not limited to data protection laws, employment laws, and export control laws. You are solely responsible for ensuring that your use of the Service complies with all applicable laws in your jurisdiction.

12. API Usage

If you access the Service through our Application Programming Interface (API), you agree to:

  • Comply with all API documentation, rate limits, and usage guidelines
  • Not attempt to circumvent or exceed any rate limits or usage restrictions
  • Not use the API in a manner that could damage, disable, overburden, or impair the Service
  • Not use the API for any illegal or unauthorized purpose
  • Maintain the security and confidentiality of your API credentials

We reserve the right to modify, suspend, or discontinue API access at any time, with or without notice. We may also impose rate limits or other restrictions on API usage to ensure the stability and security of the Service. We are not liable for any damages resulting from API unavailability or changes to the API.

13. Third-Party Services and Integrations

The Service may contain links to third-party websites, services, or integrations. We do not endorse, control, or assume responsibility for any third-party content, services, or practices. Your interactions with third-party services are solely between you and the third party. We are not liable for any loss or damage resulting from your use of any third-party services or integrations.

14. Backup and Data Loss

While we implement reasonable data backup and recovery procedures, we do not guarantee that your data will be backed up or recoverable. You are solely responsible for maintaining your own backups of any data you upload to the Service. We are not liable for any loss, corruption, or deletion of your data, regardless of the cause.

15. Disclaimer

The materials on CitoHR are provided on an 'as is' basis. We make no warranties, expressed or implied, and hereby disclaim and negate all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

16. Limitations of Liability

In no event shall Citosoft Ltd or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the Service, even if we have been notified orally or in writing of the possibility of such damage.

17. Indemnification

You agree to defend, indemnify, and hold harmless Citosoft Ltd, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms of Service or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms of Service, or your use of any information obtained from the Service.

18. Force Majeure

We shall not be liable for any failure or delay in performance under these Terms of Service which is due to earthquake, fire, flood, act of God, act of war, terrorism, epidemic, pandemic, labor dispute, government action, internet or telecommunications failure, or other causes which are beyond our reasonable control.

19. Revisions and Errata

The materials appearing on CitoHR could include technical, typographical, or photographic errors. We do not warrant that any of the materials on the Service are accurate, complete, or current. We may make changes to the materials contained on the Service at any time without notice.

20. Governing Law and Dispute Resolution

These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in the European Union or United Kingdom, you may also have rights under applicable consumer protection laws, and nothing in these Terms shall limit such rights.

21. Severability and Waiver

If any provision of these Terms of Service is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding the Service.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If we waive any of our rights in a particular instance, it does not mean that we waive our rights generally or in the future.

22. Assignment

We may assign or transfer these Terms, in whole or in part, at any time without notice. You may not assign or transfer these Terms or any rights or obligations hereunder, in whole or in part, without our prior written consent, and any attempt to do so shall be void.
